Terms of Service
These terms cover your use of Warp Yard, Warp's yard management software. By creating an account or using Warp Yard, you agree to them.
Last updated: October 13, 2026
1.The agreement
These Terms of Service are an agreement between you and Warp Technology, Co. (“Warp”), 1800 Vine Street, Los Angeles, CA 90028. They apply to Warp Yard at warpyardmanagement.com, including the driver check-in page, the carrier booking portal, and the Warp Yard API (together, the “Service”).
If you use the Service for a company, you confirm you are authorized to accept these terms for that company, and “you” means that company. If you have signed a separate written agreement with Warp that covers Warp Yard, that agreement controls where it conflicts with these terms.
Freight you ship with Warp is covered by Warp’s Terms and Conditions, not these terms. How we handle personal information is described in the Warp Yard Privacy Notice and Warp’s Privacy Policy.
2.Your Warp account
Warp Yard uses your Warp account. Signing up creates a Warp account if you don’t already have one, and the same login works across Warp products. Keep your password private and tell us right away at support@wearewarp.com if you think someone else has used your account.
You are responsible for what happens under your account and for the people you add to your yard. Yard admins decide who has access and what each person can do, and can remove access at any time.
3.What the Service does
Warp Yard helps you run a yard: checking trucks in and out at the gate, tracking trailers and dock doors, scheduling appointments, letting carriers book their own slots, assigning moves, and reporting on dwell and detention. If you ship with Warp, shipments headed to your facility appear on your dock schedule automatically.
Warp Yard is a record-keeping and coordination tool. It is not a safety system. Door, dock light, and trailer statuses on screen reflect what people and connected systems have entered, so always follow your site’s safety procedures (for example wheel chocks, vehicle restraints, and lockout steps) and confirm conditions in person before anyone enters a trailer or moves equipment.
Detention and dwell figures are calculated from your settings and the times recorded in the Service. Review them before you use them to bill anyone.
4.Fees
If Warp charges for Warp Yard or for any feature of it, we will show you the price before it applies, and nothing will be charged unless you agree to it.
5.Your data
You own the information you and your team put into the Service, such as trailers, appointments, carriers, notes, and photos (“Yard Data”). You give Warp permission to host, process, and display Yard Data only as needed to provide, secure, and support the Service and as you direct, for example when you connect an integration.
Warp does not sell Yard Data and does not use it for advertising. Warp may use de-identified, aggregated information about how the Service is used to operate and improve it.
You are responsible for having the right to enter the information you put into the Service, including details about drivers and other people, and for giving any notice your location requires, for example that photos are taken at your gate.
6.Carriers, drivers, and other visitors
Carriers using the booking portal and drivers using the check-in page use the Service on your behalf. Their bookings and check-ins become part of your Yard Data. Share portal links only with carriers you work with, and revoke a link if it is no longer needed.
7.API keys and integrations
You can create API keys and webhooks to connect Warp Yard to other systems. Keep keys secret, give them only to systems you control, and revoke any key you think has been exposed. You are responsible for what happens with your keys and for the systems you send data to. Warp may limit request rates to keep the Service reliable for everyone.
8.Acceptable use
You agree not to:
- use the Service in a way that breaks the law or violates someone else’s rights;
- access accounts, yards, or data you are not authorized to access;
- interfere with or disrupt the Service, or try to get around its security or usage limits;
- copy, modify, reverse engineer, or resell the Service, except as the law expressly allows;
- upload malicious code, or content you have no right to share.
Warp may suspend access that puts the Service, Warp, or other customers at risk. Where we reasonably can, we will tell you first.
9.Changes to the Service
We are always improving Warp Yard, so features may be added, changed, or retired. If we remove something you rely on in a significant way, we will give you reasonable notice where we can.
10.Disclaimers
We work hard to keep Warp Yard available and accurate, but the Service is provided “as is” and “as available.” To the extent the law allows, Warp disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not promise that the Service will be uninterrupted or error-free.
11.Limitation of liability
To the extent the law allows, Warp will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to the Service. Warp’s total liability for all claims relating to the Service is limited to the greater of the amount you paid Warp for the Service in the twelve (12) months before the claim arose, or one hundred US dollars ($100).
Some places do not allow these limits, so they may not fully apply to you.
12.Indemnity
You will defend and indemnify Warp against third-party claims arising from Yard Data you provide without the right to do so, or from your use of the Service in breach of these terms.
13.Ending your use
You can stop using Warp Yard at any time. To close your yard and have its data deleted, email support@wearewarp.com from an admin account. Warp may end or suspend your access if you materially breach these terms and do not fix the breach within 30 days of notice, or right away where needed to protect the Service or others. Sections 5, 10, 11, 12, and 15 continue after your use ends.
14.Changes to these terms
We may update these terms. We will post the new version here with a new date, and for material changes we will let account admins know in advance. Continuing to use the Service after an update takes effect means you accept it.
15.Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules, and the parties consent to the jurisdiction of the state and federal courts in California.
